THE MUSIC BREW FZ LLC : Terms and Conditions (Client)

1. INTERPRETATION

1.1 Interpretation

  • 1.1.1 References to “including” or “includes” mean “including without limitation.”
  • 1.1.2 Headings are for convenience only and do not affect interpretation.
  • 1.1.3 References to any statute or regulation include amendments and re-enactments.
  • 1.1.4 Words in the singular include the plural and vice versa.
  • 1.1.5 Any reference to “writing” includes email and electronic communications.

1.2 Definitions

In these Terms:
“Artist” means the individual performer, duo or Band Leader named in the Booking Confirmation, who supplies the Artist Services to the Client as principal.
“Artist Services” means the live performance and related musical services supplied by the Artist to the Client under a Booking, including performances under the Vibers, BandAura and SoulBrew modules and any Extra 30 Minutes extension.
 “Booking” means the contract for the Artist Services between the Client and the Artist, concluded by TMB as the Artist’s disclosed agent.
“Booking Confirmation” means the electronic confirmation issued by TMB, as the Artist’s agent, which names the Artist and forms the Booking.
“Client”, “you” means the person who books the Artist Services and the TMB Services through the Platform.
“Platform” means TMB’s website, mobile application and related booking systems.
 “TMB Services” means the services supplied by TMB to the Client in TMB’s own name and as principal, namely sound, lighting and ambience setup, crew, TrueMark verification, Client support, the NOC template, and the VIP Concierge, Event Reel and Highlight Clips add-ons.
“Services” means the Artist Services and the TMB Services together, and is used in these Terms only where both are intended.
“Base Fee” means the Artist’s fee for the Artist Services, set by the Artist, displayed on the Platform and payable by the Client to the Artist.
“Platform Charge” and “Service Charge” mean TMB’s own charges to the Client for the TMB Services and the agency function, itemised separately at checkout.
  • 1.2.1 Where these Terms impose an obligation on, or confer a right against, “TMB” in respect of the Artist Services, that obligation or right is to be read as an obligation of, or right against, the Artist, for whom TMB acts as agent, except where TMB’s own obligations in respect of the TMB Services are expressly concerned.

1.3 Mandatory Consumer Rights

  • 1.3.1 Where the Client contracts as a consumer, the Client has rights under the UAE Consumer Protection Law (Federal Decree-Law No. 15 of 2020), its Implementing Regulation (Cabinet Resolution No. 66 of 2023) and other applicable UAE law. Nothing in these Terms operates to exclude, restrict, waive or modify any right, remedy or protection conferred on the Client by those laws, or any liability of TMB that cannot lawfully be excluded or limited.
  • 1.3.2 This clause applies to the whole of these Terms and prevails over any inconsistent provision, including the disclaimers in Section 13.2, the limitations and exclusions in Sections 13.3, 13.4 and 13.6, the remedy provisions in Section 13.5, the notice and limitation periods in Section 13.8, the cancellation and non-refund provisions in Sections 5, 7, 9 and 10, and the forfeiture provisions in Section 17.
  • 1.3.3 Where any provision of these Terms would, but for this clause, exclude or restrict such a right, remedy or protection, that provision applies only to the extent permitted by law and is otherwise to be read as modified to the minimum extent necessary to give effect to the Client’s rights, without affecting the remainder of these Terms.
  • 1.3.4 Nothing in these Terms prevents the Client from making a complaint to the Ministry of Economy, the Department of Economy and Tourism, or any other competent consumer protection authority, at any time and without first using the procedures in Section 15.
  • 1.3.5 Nothing in this clause affects the position that the Artist, and not TMB, supplies the Artist Services under the Booking, as set out in Section 6.5. Where the Client has rights as a consumer in respect of the Artist Services, those rights are exercisable against the Artist, and TMB will assist the Client in accordance with clause 6.5.9.

2. ACCEPTANCE OF TERMS

2.1 Binding Agreement

  • 2.1.1 By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
  • 2.1.2 If you do not agree to these Terms, you must immediately cease using the Platform and not make any Booking.
  • 2.1.3 Your continued use of the Platform after any modifications to these Terms constitutes acceptance of such changes.
  • 2.1.4 These Terms govern both (a) your relationship with TMB in respect of the TMB Services and TMB’s role as the Artist’s agent, and (b) the terms of each Booking between you and the Artist, which TMB concludes on the Artist’s behalf.

2.2 Eligibility

  • 2.2.1 You must be at least 18 years of age and have the legal capacity to enter into binding contracts under UAE law.
  • 2.2.2 You represent and warrant that all information provided during registration is accurate, current, and complete.
  • 2.2.3 You are responsible for maintaining the confidentiality of your account credentials.
  • 2.2.4 You may not use the Platform if you have been previously suspended or banned by TMB.>

2.3 User Account

  • 2.3.1 You must create an account to make a Booking.
  • 2.3.2 You are solely responsible for all activities under your account.
  • 2.3.3 You must immediately notify TMB of any unauthorized use of your account.
  • 2.3.4 TMB reserves the right to suspend or terminate accounts that violate these Terms.

2.4 Amendments

  • 2.4.1 TMB reserves the right to modify these Terms at any time.
  • 2.4.2 The “Last Updated” date will reflect the most recent changes.
  • 2.4.3 Continued use after modifications constitutes acceptance of the revised Terms.
  • 2.4.4 Material changes may be notified via email or Platform notification.
  • 2.4.5 Modifications do not affect the terms of a Booking already concluded.

3. THE SERVICE MODULES

The modules described in this Section 3 comprise Artist Services, supplied to the Client by the Artist under a Booking concluded by TMB as the Artist’s disclosed agent, together with the TMB Services supplied alongside them by TMB in its own name. Except for the TMB Services, TMB does not itself perform and is not the supplier of any performance.

3.1 Vibers

  • 3.1.1 Description: Solo and duo artist performances across six categories: Strings, Orchestral, Rhythm, Keys & Chords, Winds & Whispers, and Vocals.
  • 3.1.2 Time Slots: 60 minutes (including 5-minute break) or 90 minutes (including 10-minute break).
  • 3.1.3 Booking Window: Minimum 48 hours advance booking required, except for On-Demand bookings 5 hours minimum.
  • 3.1.4 Artist Selection: Clients may select multiple Artists from different categories for a single Event. Each selection results in a separate Booking with the Artist concerned.
  • 3.1.5 Wishlist Feature: Clients may wishlist preferred artists for future bookings.

3.2 BandAura

  • 3.2.1 Description: Curated band performances across five mood categories: Groove, Roots, Classic, Fusion, and Vibe.
  • 3.2.2 Curation: All bands are pre-assembled and quality-verified by TMB. Curation is a verification and presentation function performed by TMB as agent; it does not make TMB the supplier of the performance and is not a warranty of performance quality.
  • 3.2.3 Contracting Party for Band Bookings: For a BandAura Booking, the Booking Confirmation names the Band Leader as the Artist. The Band Leader contracts with the Client as principal for the whole band and is responsible for the acts and omissions of each band member. TMB acts as agent for the Band Leader only and does not contract with the individual band members.
  • 3.2.4 Time Slots: 60 minutes (including 5-minute break) or 90 minutes (including 10-minute break).
  • 3.2.5 Booking Window: Minimum 48 hours advance booking required.
  • 3.2.6 No Custom Assembly: Clients cannot request custom band member combinations.

3.5 On-Demand Booking (Vibers Only)

  • 3.5.1 Availability: Limited to Vibers module only.
  • 3.5.2 Booking Window: Minimum 5 hours before Event start time.
  • 3.5.3 Artist Selection: TMB curates a shortlist of available Artists; Client chooses from this shortlist and the Booking is concluded with the Artist chosen.
  • 3.5.4 Premium Pricing: On-Demand bookings incur an additional premium fee, disclosed at booking. That premium forms part of the Artist’s fee for the short notice at which the Booking is fulfilled, and is collected by TMB as the Artist’s agent and remitted to the Artist.
  • 3.5.5 Limited Guarantee: Artist availability not guaranteed; booking subject to real-time availability.
  • 3.5.6 Special Cancellation Terms: Different cancellation policies apply (see Section 7).
  • 3.5.7 NOC Requirement: If an NOC is required the Client must provide a signed and stamped NOC to the TMB crew when they reach the venue.

3.6 Operating Hours

  • 3.6.1 Events may be booked for any day of the week.
  • 3.6.2 The last Event start time is 08:30 PM UAE time.
  • 3.6.3 Events must conclude by 10:30 PM (22:30) to comply with residential noise regulations.
  • 3.6.4 Private celebrations, parties, or gatherings in open spaces or courts (backyards/gardens) absolute limit only till 10:30 PM (22:30) UAE time.

4. BOOKING PROCESS AND PAYMENT

4.1 Standard Booking Process

  • Step 1: Module Selection 4.1.1 Client selects one of the two service modules: Vibers or BandAura.
  • Step 2: Category Selection 4.1.2 Client selects the appropriate category within the chosen module.
  • Step 3: Artist/Band Selection 4.1.3 Client browses Artist or Band profiles, each of which identifies the Artist by name. 4.1.4 Client may wishlist Artists/Bands for consideration. 4.1.5 Client selects the final Artist/Band for the Event. The Client acknowledges that the Booking will be made with, and the performance supplied by, the Artist so selected and named.
  • Step 4: Time Slot Selection 4.1.6 Client selects desired time slot (60 or 90 minutes).
  • Step 5: Event Details Submission 4.1.7 Client provides complete Event details: Event Date; Event Time; Venue Address (full street address, building name, apartment/villa number); Number of Guests (estimate); Property Type (Apartment or Villa); Contact Number; Email Address.
  • Step 6: Artist Reservation 4.1.8 The Artist is temporarily reserved pending payment (reservation valid for 15 minutes).
  • Step 7: Payment 4.1.9 Client must complete full payment in advance via the Platform. TMB collects payment and confirms availability as the Artist’s agent. 4.1.10 Payment comprises: the Artist’s Base Fee (and any On-Demand premium) + Platform Charge + Service Charge + Add-On Services (if selected), itemised separately at checkout in accordance with clause 6.5.5. 4.1.11 Payment methods: Credit/Debit Card (Visa, Mastercard, Amex) or approved digital wallets. 4.1.12 Payment is processed through a PCI-DSS compliant gateway.
  • Step 8: Event Confirmation 4.1.13 TMB contacts the selected Artist within 2 hours to confirm availability (except On-Demand bookings). 4.1.14 If the Artist is available, TMB issues the Booking Confirmation as the Artist’s agent and the Booking is formed. 4.1.15 If the Artist is unavailable, TMB will: offer the Client alternative Artists, in which case a Booking is formed only with an alternative Artist the Client accepts; or process a full refund if the Client declines all alternatives. 4.1.16 On-Demand bookings receive instant confirmation based on real-time Artist availability, and the Booking is formed on that confirmation.
  • Step 8A: Formation and Holding of Funds 4.1.16A The Client’s payment is an offer to contract with the named Artist. Until the Booking Confirmation is issued, TMB holds the Artist’s fee as the Client’s money and will refund it in full if no Booking is formed. From the issue of the Booking Confirmation, TMB holds the Artist’s fee on the Artist’s behalf as the Artist’s agent, and payment to TMB discharges the Client’s obligation to pay the Artist.
  • Step 9: Confirmation Communications 4.1.17 The Booking Confirmation, naming the Artist as the supplier of the Artist Services, is sent electronically to: Client (email and in-app notification); Artist (email and in-app notification); TMB Operations Team (internal system). 4.1.18 Client receives the NOC document (PDF format) via email for building management submission.
  • Step 10: Welcome Call 4.1.19 TMB team contacts Client within 2 hours for a welcome call. 4.1.20 Purpose: Identity verification, address confirmation, special requirements discussion.
  • Step 11: Pre-Event Setup 4.1.21 TMB setup crew arrives at the Venue 2 hours before Event start time. 4.1.22 Setup includes: sound system, lighting, ambiance preparation. 4.1.23 The Artist arrives with TMB crew or shortly thereafter.
  • Step 12: Post-Event Feedback 4.1.24 Client receives a post-Event survey via email and in-app notification.

4.2 Payment Terms

  • 4.2.1 Full Advance Payment: All Bookings require 100% payment at the time of booking.
  • 4.2.2 Currency: All prices are in UAE Dirhams (AED).
  • 4.2.3 Price Accuracy: TMB endeavors to ensure pricing accuracy but reserves the right to correct errors.
  • 4.2.4 Payment Confirmation: A Booking is not confirmed until payment is successfully processed and the Booking Confirmation is issued.
  • 4.2.5 Failed Payments: If payment fails, the reservation will be released, and the Artist becomes available to others.

4.3 Pricing and Fee Changes

  • 4.3.1 TMB reserves the right to modify its own Platform Charge and Service Charge at any time. Artist fees are set by each Artist and are displayed on the Platform; TMB presents them as the Artist’s agent and has no authority to set or vary an Artist’s fee except within the authority that Artist has given.
  • 4.3.2 Price changes do not affect confirmed Bookings (paid in full).
  • 4.3.3 Surge pricing may apply to TMB’s Platform Charge and Service Charge during peak demand periods (holidays, weekends), and to Artist fees only where the Artist has authorised variable pricing.
  • 4.3.4 On-Demand bookings incur premium fees disclosed at the time of booking, as described in clause 3.5.4.

4.4 Add-On Services

  • 4.5.1 Clients may purchase Add-On Services at the time of booking or during the Event (subject to availability):
    • Extra 30 Minutes: Extension of performance time (additional 50% of payment). This add-on comprises (i) the Artist’s extension fee, being 50% of the Base Fee, payable to the Artist and collected by TMB as agent, and (ii) TMB’s own extension charge for the additional crew time, equipment hire and sound coverage required. Both elements are itemised at checkout.
    • VIP Concierge Booking: Dedicated event planner for décor, seating, theme execution (AED 899/-) – a TMB Service, supplied by TMB in its own name; must be selected at the time of booking.
    • Bulk Booking Package: Advance booking of 3 Events with 10% discount (discounted events valid till 6 months). The discount is applied to the Artist’s fee only where the Artist has authorised it, and otherwise to TMB’s own charges.
    • Event Reel: 30-second professional edited reel AED 599/-, 60-second AED 749/-, or 90-second AED 999/- … a TMB Service, supplied by TMB in its own name; must be selected at the time of booking.
  • 4.5.2 Add-Ons purchased during the Event must be paid immediately via the Platform.
  • 4.5.3 The VIP Concierge add-on is not available for On-Demand bookings.

5. CLIENT OBLIGATIONS AND RESPONSIBILITIES

5.1 Accurate Information

  • 5.1.1 Client must provide accurate, complete, and current information during registration and booking.
  • 5.1.2 Client is solely responsible for ensuring Venue address details are correct.
  • 5.1.3 Errors in address or contact information may result in Event cancellation without refund.

5.2 Venue Access and Permissions

  • 5.2.1 Client must ensure TMB crew and the Artist have unobstructed access to the Venue at the scheduled time.
  • 5.2.2 Client is responsible for obtaining all necessary permissions from: Building management or landlord (if renting); Homeowners Association (HOA) or residential community management; Any other relevant authority.
  • 5.2.3 NOC Responsibility: Client must obtain and provide any required No Objection Certificate (NOC) from building/community management. Neither TMB nor the Artist is responsible for denied access due to a missing NOC.
  • 5.2.4 If access is denied due to the Client’s failure to obtain permissions, the Event will be deemed as occurring, and no refund will be provided. The Artist’s fee is treated as earned and is remitted to the Artist under clause 7.2.3.

5.3 Venue Suitability

  • 5.3.1 Client warrants that the Venue is suitable for the Event, including: Adequate space for Artist(s) and equipment; Functioning electrical outlets (minimum 2 x 13-amp sockets); Safe working environment (no hazards, adequate lighting); Compliance with fire safety and building regulations.
  • 5.3.2 If, on arrival, the Venue does not meet the requirements in clause 5.3.1, TMB will first use reasonable efforts to relocate the setup within the Venue. If no compliant area exists, TMB may cancel the TMB Services and, as the Artist’s agent, cancel the Booking. TMB will provide the Client with written reasons identifying which requirement in 5.3.1 was not met. In that event 20% of the total payment is credited to the Client’s wallet.
  • 5.3.3 Outdoor Venues are subject to weather conditions; Client assumes risk of weather-related disruption.

5.4 Noise and Disturbance

  • 5.4.1 Client is solely responsible for ensuring the Event complies with UAE and local noise regulations.
  • 5.4.2 Client must ensure: Advance notification to neighbors (recommended 48 hours prior); Compliance with building/community noise policies; Event concludes by 10:30 PM (22:30) on weekdays and weekends.
  • 5.4.3 Neither TMB nor the Artist is liable for noise complaints, fines, or legal action resulting from the Event.
  • 5.4.4 If authorities order the Event to stop, no refund will be provided, and the Artist’s fee is treated as earned.

5.5 Conduct and Safety

  • 5.5.1 Client must ensure a safe, respectful environment for TMB crew and Artists.
  • 5.5.2 Client must not: Engage in harassment, discrimination, or abusive behavior toward Artists or TMB staff; Serve alcohol to Artists; Request Artists to perform beyond contracted time without prior arrangement; Interfere with Artist equipment or TMB setup.
  • 5.5.3 TMB may terminate the TMB Services and, as the Artist’s agent, end the Booking immediately if the Client or guests engage in: Violent, threatening, or illegal behavior; Sexual harassment or unwanted physical contact; Discriminatory conduct based on race, religion, gender, nationality, etc. The Artist may also cease performing in such circumstances.
  • 5.5.4 Events terminated due to Client misconduct are non-refundable, and the Artist’s fee is treated as earned.

5.6 Equipment and Property

  • 5.6.1 All equipment brought by TMB remains the property of TMB. Instruments and personal equipment brought by the Artist remain the property of the Artist.
  • 5.6.2 Client is liable to TMB for any damage to TMB equipment, and to the Artist for any damage to the Artist’s instruments or equipment, caused by the Client, guests, or pets.
  • 5.6.3 Client must ensure pets are secured and do not interfere with equipment or Artists.
  • 5.6.4 Client will be invoiced for repair or replacement costs of damaged equipment.

5.7 Content Creation and Recording

  • 5.7.1 TMB does not record Events by default. Where TMB wishes to capture footage for marketing purposes, TMB will request the Client’s prior consent at the time of sign-up. The Client is responsible for informing guests that recording will take place and for ensuring that any guest who objects is not filmed. No footage of any identifiable minor will be captured or used without the prior written consent of a parent or guardian.
  • 5.7.2 Client may not record Artists with any professional equipment, except a personal phone device, without explicit consent from both the Artist and TMB. Unauthorized recording may result in account suspension and legal action, and the Artist may pursue its own remedies.

5.8 Payment Obligations

  • 5.8.1 Client must complete payment in full before the Booking Confirmation is issued.
  • 5.8.2 Client is responsible for all charges incurred on their account.
  • 5.8.3 Chargebacks or payment disputes made in bad faith will result in account termination and potential legal action.

5.9 Contact and Non-Circumvention

  • 5.9.1 Client must not provide his/her personal details to any TMB Artists.
  • 5.9.2 Client must not provide his/her contact details, Email ID or any social media platform details to any TMB Artists.
  • 5.9.3 All arrangements relating to the Event – including scheduling, pricing, changes and any complaint – must be made with TMB, which receives and transmits them as the Artist’s agent and is the Client’s single point of contact, and not directly with the Artist. The Client must not engage or attempt to engage any Artist introduced through the Platform for any performance outside the Platform for 12 months following the Event. Nothing in these Terms restricts the Client from expressing an honest opinion about TMB, the Artist or the Services.

6. TMB’S ROLE AND OBLIGATIONS

6.1 Service Delivery

  • 6.1.1 TMB will use commercially reasonable efforts to: confirm Artist availability within 2 hours of booking (standard bookings); provide instant confirmation for On-Demand bookings (subject to availability); deploy the setup crew 2 hours before Event start time; ensure the sound system, lighting, and ambiance meet professional standards; and coordinate the Artist’s attendance in TMB’s capacity as the Artist’s agent.
  • 6.1.1A The obligations in clause 6.1.1 are TMB’s own obligations in respect of the TMB Services and the agency function. They are not an undertaking by TMB that the Artist will perform, or that the Artist Services will meet any particular standard.
  • 6.1.2 TMB does not guarantee that a specific Artist will be available for every booking request.
  • 6.1.3 If an Artist becomes unavailable after the Booking Confirmation has been issued, the Booking is cancelled and TMB will offer the Client alternative Artists in accordance with Section 7.3.2. TMB does not substitute one Artist for another under the same Booking.

6.2 Artist Verification

  • 6.2.1 TMB conducts “TrueMark” verification on all Artists, including: Emirates ID verification; Residency visa check; Background screening; Performance audition.
  • 6.2.2 TMB does not guarantee Artist punctuality or performance quality, but will take corrective action, as the Artist’s agent, if issues arise.
  • 6.2.3 Client may report Artist issues through the Platform; TMB will investigate and take appropriate action under clause 8.4.
  • 6.2.4 Scope of TrueMark Verification. TrueMark verification comprises, at the point of the Artist’s onboarding and on any subsequent re-verification: (a) verification of the Artist’s identity against Emirates ID and passport; (b) verification that the Artist holds valid UAE work authorisation; (c) an assessment of performance quality by audition; and (d) reference and background screening to the extent legally permissible and with the Artist’s consent. TrueMark verification is a point-in-time check of the matters listed above. It is not a continuous assessment of the Artist, not a prediction of the Artist’s future conduct, and not a guarantee of the Client’s or any guest’s safety. TMB will re-verify an Artist where it becomes aware of a material change, but does not monitor Artists between Bookings

6.3 Equipment and Setup

  • 6.3.1 TMB provides professional-grade sound equipment, basic lighting, and basic ambiance setup as part of the TMB Services.
  • 6.3.2 TMB does not provide: Decorations beyond basic ambiance; Furniture or seating arrangements; Catering or food services; Security personnel.
  • 6.3.3 The VIP Concierge Add-On includes enhanced décor and theme execution (subject to separate agreement).
  • 6.3.4 Subcontractors. TMB may perform any part of the TMB Services through employees, contractors, subcontractors or hired equipment. Where TMB does so, TMB remains responsible to the Client for the TMB Services as principal, and for the acts and omissions of any person engaged by TMB in supplying them, as if they were TMB’s own. Clause 13.1.4 does not apply to any person engaged by TMB to supply the TMB Services.

6.4 Communication

  • 6.4.1 TMB will communicate with Clients via: Email; In-app notifications; SMS (for urgent matters); WhatsApp Business (optional); Phone call (Welcome call).
  • 6.4.2 TMB will respond to Client inquiries within 24 hours (business days).
  • 6.4.3 Emergency contact: see Section 18.

6.5 TMB’S ROLE AS AGENT

  • 6.5.1 The Music Brew FZ-LLC (“TMB”) operates the Platform through which Clients discover and book independent Artists.
  • 6.5.2 For every Artist Booking, TMB acts solely as the disclosed agent of the Artist. When a Booking is confirmed, the contract for the performance is formed directly between the Client and the Artist named in the Booking Confirmation. TMB is not a party to that contract, is not the Artist’s employer or principal, and does not itself perform.
  • 6.5.3 As agent, TMB presents the Artist’s availability and fee, confirms the Booking on the Artist’s behalf, and collects the Client’s payment on the Artist’s behalf. Payment to TMB satisfies the Client’s payment obligation to the Artist. TMB is the Client’s single point of contact for scheduling, changes and complaints.
  • 6.5.4 Separately, and in its own name and as principal, TMB supplies the TMB Services as defined in clause 1.2. TMB is responsible to the Client for the TMB Services under these Terms. The “Extra 30 Minutes” add-on comprises the Artist’s extension fee, contracted with the Artist through TMB as agent, and TMB’s own extension charge, as set out in clause 4.5.1.
  • 6.5.5 The total price is the Artist’s fee, payable to the Artist, plus the Platform Charge and Service Charge, which TMB retains for its agency and the TMB Services, as itemised at checkout.
  • 6.5.6 TrueMark verification (clause 6.2) and BandAura curation (clause 3.2.2) do not make TMB the provider of any performance and are not a warranty of performance quality.
  • 6.5.7 TMB is not liable for the Artist Services, subject to Sections 7.3.2 and 7.4 (replacement or refund), clause 13.3.2 and mandatory UAE law. This does not affect TMB’s liability for the TMB Services, or the Client’s rights against the Artist under the Booking.
  • 6.5.8 Disclosure of the Artist. The Artist is identified by name to the Client on the Platform before booking, at checkout, in the Booking Confirmation and on the Client’s receipt. By making a Booking the Client acknowledges that it contracts with that named Artist for the Artist Services, and with TMB for the TMB Services.
  • 6.5.9 Assistance with claims. Where the Client has a complaint or claim against the Artist arising out of the Artist Services, TMB will, as the Artist’s agent, receive it, pass it to the Artist, investigate it under clause 8.4 and use reasonable efforts to resolve it, including by agreeing a reduction in the Artist’s fee within the authority the Artist has given TMB. TMB will on request provide the Client with the information reasonably required to pursue a claim directly against the Artist.
  • 6.5.10 VAT and invoicing. TMB accounts for VAT on its own charges and the TMB Services only. Documentation issued to the Client will show the Artist as the supplier of the Artist Services and TMB as the supplier of the TMB Services.
  • 6.5.11 This Section 6.5 prevails over any other provision of these Terms, including clauses 13.5 and 16.10, on how the relationship between TMB, the Client and the Artist is characterised. ## 7. CANCELLATION POLICY

7.1 General Cancellation Terms

  • 7.1.1 Valid Cancellation Method: All cancellations must be made through the Platform (TMB app or website). Cancellations via email, WhatsApp, phone call, or any other method are NOT VALID and will not be processed.
  • 7.1.2 Cancellation Confirmation: Client will receive electronic confirmation of cancellation via email and in-app notification. The confirmation will itemise the amount credited or refunded, the Artist’s cancellation compensation, and TMB’s own cancellation administration charge.
  • 7.1.3 Refund Processing: Refunds are subject to the terms outlined in Section 8 (Refund Policy).
  • 7.1.4 Currency Conversion: Refunds will be issued in the same currency as the original payment (AED).
  • 7.1.5 How retained amounts are made up. Where an amount is stated in this Section 7 to be non-refundable or retained, that amount comprises (a) the Artist’s cancellation compensation, which is payable by the Client to the Artist under the Booking and which TMB collects and remits to the Artist as the Artist’s agent, and (b) the balance, which is TMB’s own cancellation administration charge for the TMB Services and the agency function.
  • 7.1.6. This Section 7 is subject to clause 1.3 (Mandatory Consumer Rights). Nothing in this Section removes any refund or remedy to which the Client is entitled under applicable UAE consumer law.”

7.2 Client-Initiated Cancellation (After Booking Confirmation)

  • 7.2.1 Cancellation with More Than 24 Hours before Event (Standard Bookings Only) Cancellation more than 24 hours before the Event: TMB will credit 70% of the payment and 100% of the price of any Add-On not yet rendered to the Client’s account. The remaining 30% of the payment is non-refundable and is retained and applied in accordance with clause 7.1.5, Add-Ons already rendered (VIP Concierge planning) are non-refundable.
  • 7.2.2 Cancellation within 24 Hours before Event Cancellation less than 24 hours before the Event: TMB will credit 30% of the payment to the Client’s account. The remaining 70% of the payment is non-refundable and is retained and applied in accordance with clause 7.1.5, Add-Ons are credited to the Client’s TMB Wallet only where the Add-On has not yet been rendered. Add-Ons already rendered (VIP Concierge planning) are non-refundable.
  • 7.2.3 Cancellation Upon Arrival (No-Show by Client) If the Client cancels at the time of Artist or/and TMB crew arrival at the Venue:
    • No Refund: The Event is deemed to have occurred
    • Full Payment: 100% of all fees (including VIP Concierge and Event Reel Add-Ons) are non-refundable
    • Rationale: TMB crew and the Artist have already incurred costs (travel, time, setup)
    This provision also applies if: the Client is not present at the Venue; the Client refuses entry to TMB crew or the Artist after arrival; or Venue access is denied due to the Client’s failure to obtain an NOC or permissions.
  • 7.2.4 On-Demand Booking Cancellation Due to the urgent nature of On-Demand bookings, special cancellation terms apply:
    • No Refund: The Event is deemed to have occurred
    • Application: The Artist receives the cancellation compensation and the On-Demand Service Payment provided for in the Artist Agreement, remitted by TMB as the Artist’s agent; TMB retains only its own charges.

7.3 Cancellation by TMB

  • Where the Event cannot proceed because TMB is unable to deliver the TMB Services, or for regulatory or force majeure reasons, TMB may cancel the TMB Services and may, acting as the Artist’s agent under the authority given in the Artist Agreement, cancel the Booking on the Artist’s behalf. This applies where the cause is: operational issues (equipment failure, crew unavailability); regulatory issues (government restrictions, licensing problems); or Force Majeure events (see Section 11).
    Refund: Client receives a 100% full refund of all amounts paid (including Add-Ons and the Artist’s fee), processed to the original payment method or Wallet (Client’s choice).
    Timeline: Refund issued within 7-10 business days.
  • 7.3.2 Artist Unavailability (Post-Confirmation)
    If the Artist becomes unavailable after the Booking Confirmation has been issued, the Booking with that Artist is cancelled, and TMB will:
    1. Offer Alternative Artists: TMB, acting as agent for other Artists on the Platform, offers the Client one or more alternative Artists of similar caliber.
      • If the Client accepts: a new Booking is concluded between the Client and the alternative Artist, the funds held are applied to it, and the Client is compensated in accordance with Section 7.4
      • If the Client declines: 100% refund processed
    2. No Alternative Available: If no suitable alternative exists, a 100% refund is processed automatically
For the avoidance of doubt, TMB does not substitute one Artist for another under the same Booking; a replacement performer performs under a new contract between the Client and that performer.

7.4 Artist-Initiated Cancellation (After Booking Confirmation)

7.4.1 Artist Cancellation Protocol
If an Artist cancels a confirmed Booking, the Booking is cancelled and:
Client Compensation same as Section 7.3.2

7.5 Special Circumstances

  • 7.5.1 Weather Cancellations (Outdoor Events)
    Outdoor Events are subject to weather conditions: – Client-initiated weather cancellation (more than 2 hours before Event): Rescheduling option available (Wallet credit) – Client-initiated weather cancellation (less than 2 hours before Event): Standard cancellation terms apply (Section 7.2.2) – TMB-initiated weather cancellation (unsafe conditions): 100% refund or free rescheduling
  • 7.5.2 Illness or Emergency
    Client medical emergency or family bereavement: – Evidence Required: Medical certificate or official documentation – Cancellation Terms: Rescheduling option (Wallet credit) regardless of timing – Processing Time: 48 hours for documentation review
  • 7.5.3 Technical/Platform Errors
    If cancellation results from a Platform error or TMB system failure: – 100% refund with no deductions – Compensation: AED 200 credit to Wallet as apology, paid by TMB from its own funds

8. REFUND POLICY

8.1 Refund Methods

  • 8.1.1 Original Payment Method: Refunds are processed to the original payment method used at booking (credit card, debit card, digital wallet).
  • 8.1.2 TMB Wallet: Alternatively, Client may choose to receive a refund as credit in the TMB Wallet (available for future bookings).
  • 8.1.3 Source of Refunds. Where a refund includes the Artist’s fee, TMB processes it out of the funds it holds on the Artist’s behalf, acting within the authority given by the Artist. Where a refund relates to TMB’s own charges or the TMB Services, TMB processes it from its own funds.

8.2 Refund Timeline

  • 8.2.1 Wallet Credits: Instant (within 1 hour of cancellation approval)
  • 8.2.2 Credit/Debit Card Refunds: 7-10 business days from cancellation approval
  • 8.2.3 Bank Transfer Refunds: 10-14 business days (only if original payment method unavailable)
  • 8.2.4 Processing Time Factors: Bank processing times vary by institution; international cards may take up to 14 business days; public holidays may extend timelines.
  • 8.2.5 Refund Confirmation: Client receives email notification when a refund is initiated and when completed.

8.3 Refund Eligibility

Refunds are processed according to the specific cancellation scenario (see Section 7).
This Section 7 is subject to clause 1.3 (Mandatory Consumer Rights). Nothing in this Section removes any refund or remedy to which the Client is entitled under applicable UAE consumer law.”

8.4 Disputed Refunds and Complaints

  • 8.4.1 Dispute Filing: If the Client believes a refund was incorrectly processed or denied, or wishes to complain about the Artist Services, the Client may file a dispute through the Platform within 14 days of the refund decision or the Event.
  • 8.4.2 Required Information: Booking reference number; detailed explanation of the dispute; supporting documentation (screenshots, emails, photos).
  • 8.4.3 Investigation Timeline: TMB will investigate disputes within 7 business days. Where the dispute concerns the Artist Services, TMB conducts the investigation as the Artist’s agent under clause 6.5.9.
  • 8.4.4 Resolution Options: Approve an additional refund; deny the dispute with detailed reasoning; offer a Wallet credit as a compromise; or, where the dispute concerns the Artist Services, agree a reduction in the Artist’s fee within the authority the Artist has given TMB.
  • 8.4.5 Effect of TMB’s Decision: TMB’s decision concludes TMB’s internal complaints process. It is without prejudice to the Client’s rights at law, including the Client’s rights against the Artist under the Booking, and to the Artist’s rights against the Client. The Client may pursue mediation and arbitration under Section 15 if unsatisfied.

8.5 Chargebacks and Payment Disputes

  • 8.5.1 Prohibited Conduct: Before initiating a chargeback, Client must contact TMB and allow 14 days to resolve the matter.
  • 8.5.2 Chargeback Consequences: Immediate account suspension pending investigation; TMB will contest unjustified chargebacks with full documentation; if a chargeback is found to be fraudulent or in bad faith: permanent account termination and potential legal action.
  • 8.5.3 Legitimate Chargebacks: If TMB has failed to process a legitimate refund, Client may proceed with a chargeback, but must notify TMB in writing first.
  • 8.5.4 Chargeback Fees: Client may be liable for chargeback processing fees (AED 150-300) if the chargeback is found to be unjustified.

8.6 Currency and Exchange Rates

  • 8.6.1 All transactions are in UAE Dirhams (AED).
  • 8.6.2 If a refund is processed to an international credit card in foreign currency, exchange rate fluctuations may affect the refunded amount.
  • 8.6.3 TMB is not responsible for exchange rate differences between booking date and refund date.
  • 8.6.4 Foreign transaction fees charged by the Client’s bank are non-refundable.

8.7 Tax and VAT

  • 8.7.1 VAT refunds are processed according to UAE Federal Tax Authority regulations.
  • 8.7.2 VAT invoices will be adjusted for cancelled/refunded bookings.
  • 8.7.3 Clients requiring adjusted VAT invoices for accounting purposes may request them via email to support@themusicbrew.com. Such invoices relate to TMB’s own charges and the TMB Services; documentation for the Artist Services shows the Artist as supplier in accordance with clause 6.5.10.

8.8 Refund Exceptions

  • Promotional Credits: Promotional credits, referral bonuses, and loyalty rewards are non-refundable and non-transferable.

9. RESCHEDULING POLICY

9.1 General Rescheduling Terms

  • 9.1.1 Definition: Rescheduling means changing the date and/or time of a confirmed Booking without cancelling it entirely. TMB agrees a reschedule on the Artist’s behalf, acting within the authority given by the Artist.
  • 9.1.2 Valid Method: Rescheduling must be requested through the Platform. Requests via other channels are not valid.
  • 9.1.3 Availability Dependent: Rescheduling is subject to the Artist’s availability on the new requested date.
  • 9.1.4 No Guarantee: TMB does not guarantee the same Artist will be available for the rescheduled date. Where a different Artist is chosen, a new Booking is concluded with that Artist.

9.2 Client-Initiated Rescheduling

  • 9.2.1 Rescheduling After Booking Confirmation (More Than 6 Hours before Event)
    If the Client requests to reschedule an Event after confirmation:
    Financial Terms: 100% of the payment is credited to the Client’s Wallet.
    Wallet Credit Validity: 1 month from the rescheduling request date. If the credit is not used within that period, the Artist’s cancellation compensation under clause 7.1.5 is remitted to the Artist and the balance is retained by TMB.
  • 9.2.2 Same Artist Availability If the original Artist is available on the new date: the Booking is rescheduled with the same Artist and the Client applies the Wallet credit toward it.
  • 9.2.3 Original Artist Unavailable If the original Artist is NOT available on the new date: TMB provides a list of available alternative Artists; the Client may choose an alternative Artist, in which case a new Booking is concluded with that Artist. Rate Difference: where the alternative Artist’s fee is higher, the Client pays the difference; where it is lower, the excess credit remains in the Wallet.
  • 9.2.4 Multiple Rescheduling Requests
    • First Rescheduling: No penalty
    • Second Rescheduling: Additional 20% fee (of Total Fee) applies, retained by TMB as its own administration charge
    • Third+ Rescheduling: Treated as a cancellation; standard cancellation policy applies
  • 9.2.5 Last-Minute Rescheduling (Less Than 6 Hours before Event) If the Client requests rescheduling less than 6 hours before the Event: treated as a cancellation and the standard cancellation policy applies.

9.3 TMB-Initiated Rescheduling

  • 9.3.1 Operational Rescheduling

    If TMB must reschedule due to operational issues (equipment failure, crew unavailability), TMB agrees the reschedule on the Artist’s behalf:

    • No Penalty: Client pays no additional fees
    • Priority Rebooking: Client given priority booking on the next available date
    • Compensation: AED 200 credit added to Wallet as apology, paid by TMB from its own funds
    • Alternative Option: Client may choose a full refund instead of rescheduling
  • 9.3.2 Force Majeure Rescheduling

    If the Event cannot proceed due to Force Majeure:

    • No Penalty: No fees charged to Client
    • Options: (1) Reschedule to a mutually agreed date (no expiration on Wallet credit); (2) Full refund to original payment method

9.4 Rescheduling Limitations

  • 9.4.1 Seasonal Restrictions: Some peak periods (New Year’s Eve, Eid holidays, National Day) have limited availability. Rescheduling to these dates may not be possible.
  • 9.4.2 On-Demand Bookings: On-Demand bookings cannot be rescheduled. Any changes are treated as a cancellation.
  • 9.4.3 Add-On Retention: Add-Ons purchased for the original booking are retained on the rescheduled booking.

9.6 Rescheduling Process

  • Step 1: Client submits a rescheduling request through the Platform (Booking Details page → “Reschedule Event” button)
  • Step 2: Client selects preferred new date and time
  • Step 3: TMB checks the original Artist’s availability within 24 hours
  • Step 4: TMB notifies the Client of the outcome: Option A: Original Artist available (Booking updated); Option B: Original Artist unavailable (Client selects an alternative, and a new Booking is concluded)
  • Step 5: Financial settlement: Wallet credit applied to the new Booking; any rate difference charged or refunded
  • Step 6: New Booking Confirmation issued, naming the Artist
  • Step 7: Standard Event preparation proceeds for the new date

10. NO OBJECTION CERTIFICATE (NOC) POLICY

10.1 NOC Requirement

  • 10.1.1 Definition: A No Objection Certificate (NOC) is a document issued by building management, homeowners association (HOA), or residential community administration granting permission to host a private Event.
  • 10.1.2 Legal Context: Many residential buildings and communities in the UAE require NOCs for private events, gatherings, or commercial activities conducted in residential units.
  • 10.1.3 Client Responsibility: Obtaining an NOC (if required by the Client’s building/community) is 100% the responsibility of the Client. Neither TMB nor the Artist is responsible for obtaining NOCs on behalf of Clients.

10.2 TMB-Provided NOC Template

  • 10.2.1 Delivery: Upon successful booking and payment, TMB will email a standardized NOC template (PDF format) to the Client within 2 hours of the Booking Confirmation.
  • 10.2.2 Template Contents: Event date and time; Event type (musical performance/wellness session); TMB company details (trade license number, contact information); Artist details (number of performers, instruments); Equipment details (sound system, lighting); Expected number of guests; TMB liability details; Client signature section; Building management signature section.
  • 10.2.3 Purpose: The template is designed to facilitate the Client’s NOC request to building management. Providing and supporting the template is a TMB Service.
  • 10.2.4 Customization: TMB will customize the template with Client-specific Event details. Clients may not alter the template without TMB’s written permission.

10.3 Client’s NOC Obligations

  • 10.3.1 Inquiry Duty: Client must determine whether their building/community requires an NOC by: checking with building management/security; reviewing HOA rules and regulations; consulting the tenancy agreement (if renting).
  • 10.3.2 Timely Submission: If an NOC is required, Client must submit the TMB-provided template to building management at least 12 hours before the Event. In the case of an On-Demand booking, the NOC must be provided at the time the TMB crew arrives.
  • 10.3.3 Approval Responsibility: Client must obtain signed approval from the relevant authority.
  • 10.3.4 Proof of NOC: Client should retain a copy of the signed NOC and may be asked to show it to TMB crew upon arrival.
  • 10.3.5 Alternative Venues: If building management denies the NOC, Client is responsible for: cancelling or rescheduling the Event (cancellation fees apply per Section 7); or relocating the Event to an alternative Venue that does not require an NOC or where approval has been obtained.

10.4 Consequences of Missing NOC

  • 10.4.1 Access Denied Scenario: If TMB crew and the Artist arrive at the Venue and are denied access by building management or security due to a missing or rejected NOC:
    • Financial Consequences: – The Event is deemed to have occurred – No refund will be provided and the full payment is non-refundable – The Artist’s fee is treated as earned and is remitted to the Artist by TMB as the Artist’s agent, in accordance with clause 7.2.3; TMB retains only its own charges – Rationale: TMB crew and the Artist have already incurred costs (travel time, lost opportunity to book other events)
    • Alternative Actions: The Client may attempt to obtain emergency NOC approval (if building management is present). If approval is obtained within 30 minutes of the scheduled start time, the Event may proceed. If approval cannot be obtained, the Event is cancelled with no refund.
  • 10.4.2 Partial Event Scenario: If the Event begins but is shut down mid-performance by building management due to a missing NOC: no refund is provided, the Artist’s fee is treated as earned, and the Client is responsible for any fines or penalties imposed by building management.
  • 10.4.3 Misrepresentation: If the Client falsely represents that an NOC is not required or has been obtained when it has not: account suspension for policy violation; the Client may be barred from future bookings; and TMB and the Artist each reserve the right to pursue legal remedies for misrepresentation.

10.5 NOC Support from TMB

  • 10.5.1 Template Quality: TMB’s NOC template is professionally drafted to maximize approval likelihood.
  • 10.5.2 Contact Availability: If building management has questions about the NOC, they may contact TMB directly using the contact information on the template.
  • 10.5.3 Verification Calls: TMB may receive verification calls from building management. TMB will respond within 24 hours to support the Client’s NOC approval.
  • 10.5.4 Additional Documentation: If building management requests additional documents (e.g., copy of TMB trade license), TMB will provide these electronically within 2 hours.
  • 10.5.5 No Guarantee: Despite TMB’s support, NOC approval is at the sole discretion of building management. TMB cannot guarantee approval.

10.6 Alternative Solutions

  • 10.6.1 Pre-Approval Research: Before booking, Clients in buildings with strict policies should consult with management to determine feasibility.
  • 10.6.2 Quieter Events: If noise is a concern for building management, the Client may book: Acoustic Vibers (solo guitar, violin, etc.); or shorter time slots (60 minutes instead of 90).

10.7 Jurisdictional Differences

  • 10.7.1 Dubai: Most high-rise buildings require NOCs for events with amplified sound.
  • 10.7.2 Abu Dhabi: Similar requirements; some communities have stricter noise ordinances.
  • 10.7.3 Sharjah: Stricter rules; live music may be prohibited in some residential zones.
  • 10.7.4 Villas vs. Apartments: Standalone villas typically do not require NOCs unless part of a gated community with HOA rules.
  • 10.7.5 Client’s Duty to Know: Client is responsible for understanding their specific jurisdiction’s requirements. TMB provides general guidance but is not a legal advisor. ## 11. FORCE MAJEURE

11.1 Definition of Force Majeure

11.1.1 Force Majeure means any event or circumstance beyond the reasonable control of TMB or the Artist, including but not limited to:

  • Acts of God: Earthquakes, floods, storms, extreme weather, natural disasters
  • War and Conflict: War, invasion, acts of foreign enemies, military operations, civil war, terrorism
  • Government Actions: Government orders, regulations, or restrictions (lockdowns, curfews, event bans)
  • Pandemics: Epidemics, pandemics, quarantine restrictions, health emergencies
  • Civil Unrest: Riots, civil commotion, strikes, labor disputes
  • Utility Failures: Power outages, telecommunications failures (if not caused by TMB’s negligence)
  • Transportation Disruptions: Road closures, flight cancellations affecting Artist travel
  • Legal Changes: New laws or regulations that prohibit or restrict the Services

11.2 Effect of Force Majeure

11.2.1 If a Force Majeure event prevents TMB from performing its obligations, or prevents the Artist from performing the Artist Services:

  • Suspension of Obligations: The affected party’s obligations are suspended for the duration of the Force Majeure event
  • No Liability: Neither TMB nor the Artist is liable for delays, non-performance, or cancellations caused by Force Majeure
  • Notice Obligation: TMB will notify affected Clients as soon as reasonably practicable

11.3 Client Options During Force Majeure

If an Event is affected by Force Majeure, the Client may choose:
  • Option 1: Reschedule – Event rescheduled to a mutually agreed future date, with no penalties or additional fees
  • Option 2: Wallet Credit with Bonus – Full payment converted to Wallet credit, with a 10% bonus added (e.g., AED 3,000 booking → AED 3,300 Wallet credit), valid for 12 months. The bonus is funded by TMB from its own funds.
  • Option 3: Full Refund – 100% refund processed to the original payment method, within 7-10 business days

11.4 Artist Force Majeure

If an Artist is unable to perform due to Force Majeure (illness, family emergency, travel disruption), the Booking is cancelled and:

  • TMB will offer an alternative Artist at no additional charge to the Client; if the Client accepts, a new Booking is concluded with that Artist
  • If no alternative is available or accepted: the Client is entitled to a full refund or rescheduling

11.5 Prolonged Force Majeure

If Force Majeure persists for more than 30 consecutive days:

  • Either party may terminate the Agreement
  • Client receives a full refund for any pending Bookings
  • No further obligations between parties

11.6 COVID-19 and Pandemic-Related Events

  • 6.1 Government Lockdown: If the UAE government prohibits gatherings or live events: all affected bookings are automatically converted to Wallet credits; Clients may request refunds if preferred.
  • 6.2 Client Exposure: If the Client or a household member tests positive for COVID-19 (or a future pandemic illness) within 7 days of the Event: free rescheduling with no penalties; proof required (medical certificate or official test result); alternative: full refund.
  • 11.6.3 Artist Exposure: If the Artist tests positive or is required to quarantine: TMB will offer an alternative Artist, in which case a new Booking is concluded; if no alternative is available or accepted: full refund or free rescheduling.

12. INTELLECTUAL PROPERTY RIGHTS

12.1 TMB Intellectual Property

  • 12.1.1 Ownership: All content on the Platform, including but not limited to logos, trademarks, service marks, text, graphics, images, software, and user interface design, is the exclusive property of TMB or its licensors.
  • 12.1.2 Trademark: “The Music Brew,” “TMB,” “BandAura,” “Vibers,” and “TrueMark” are the exclusive property of TMB. Unauthorized use is prohibited.
  • 12.1.3 Copyright: All Platform content is protected by UAE copyright law and international copyright treaties.
  • 12.1.4 Restrictions: Client may not: copy, reproduce, distribute, or create derivative works from Platform content; use TMB trademarks without prior written permission; reverse engineer, decompile, or disassemble any Platform software.
  • 12.1.5 Limited License: TMB grants the Client a non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes only.

12.2 Artist Intellectual Property

  • 12.2.1 Client Recordings: The Client and guests may take personal photographs and video on personal mobile devices for private, non-commercial use. Recording with professional audio or video equipment, live-streaming, and any commercial use or public distribution require the prior written consent of the Artist and of TMB.
  • 12.2.2 Unauthorized Recording Consequences: Immediate Event termination (no refund); account suspension; legal action for copyright infringement. The Artist retains performer’s rights in the performance under Federal Decree-Law No. 38 of 2021 and may pursue independent legal remedies in its own name.

12.3 Marketing and Promotional Use by TMB

Marketing use of Event footage requires the Client’s prior opt-in consent, given at sign-up. The Client may withdraw that consent at any time by written notice, and TMB will cease further use within 14 days and remove the material from TMB-controlled channels. TMB is not required to recall material already distributed to third parties before withdrawal.

12.4 User-Generated Content

  • 12.4.1 Ratings and Reviews: By submitting ratings, reviews, or feedback on the Platform, the Client grants TMB a perpetual, worldwide, royalty-free license to use, reproduce, and display such content.
  • 12.4.2 Social Media Tags: If the Client tags TMB in social media posts related to Events, the Client grants TMB permission to repost or share such content.

12.5 Infringement Reporting

  • 12.5.1 If the Client believes any content on the Platform infringes their intellectual property rights, they must notify TMB in writing at support@themusicbrew.com with: description of the copyrighted work or trademark; evidence of ownership; location of the infringing content on the Platform; contact information.
  • 12.5.2 TMB will investigate and respond within 14 days.

13. LIMITATION OF LIABILITY AND DISCLAIMERS

This entire Section 13 is subject to clause 1.3 (Mandatory Consumer Rights) and to clause 13.0.”

13.0 Application of this Section

  • 13.0.1 Nothing in these Terms excludes or limits TMB’s liability for: (a) death or personal injury caused by TMB’s negligence; (b) fraud or fraudulent misrepresentation; (c) TMB’s obligations in respect of personal data under applicable law; (d) TMB’s obligation to refund or account for sums it holds for the Client or the Artist; or (e) any liability that cannot lawfully be excluded or limited.
  • 13.0.2 The whole of this Section 13 – including the disclaimers in 13.2, the limitations in 13.3, the exclusions in 13.4, the allocations in 13.6 and the time limits in 13.8 – is subject to clause 13.0.1 and to clause 1.3 (Mandatory Consumer Rights).

13.1 Service Availability

  • 13.1.1 “As Is” Basis: The Platform and the TMB Services are provided “as is” and “as available” without warranties of any kind, either express or implied.
  • 13.1.2 No Guarantee of Availability: TMB does not guarantee uninterrupted, timely, secure, or error-free operation of the Platform.
  • 13.1.3 Technical Issues: TMB is not liable for losses resulting from Platform downtime, bugs, or technical failures.
  • 13.1.4 Third-Party Services: “Third-Party Services: TMB relies on independent third-party services that it does not control, including payment gateways, card networks, banks, cloud hosting and telecommunications providers. TMB is not liable for failures of those services. This clause does not apply to any person engaged by TMB to supply the TMB Services, for whom TMB remains responsible under clause 6.3.4.”

13.2 Disclaimer of Warranties

To the fullest extent permitted by UAE law, TMB disclaims all warranties in respect of the Platform and the TMB Services, including:

  • 13.2.1 Merchantability: No warranty that the TMB Services are suitable for the Client’s particular purpose
  • 13.2.2 Artist Performance: TMB gives no warranty regarding Artist quality, punctuality, or professionalism, because the Artist Services are supplied to the Client by the Artist and not by TMB. TMB will investigate complaints as the Artist’s agent under clause 6.5.9. This clause does not affect any warranty or obligation owed to the Client by the Artist under the Booking.
  • 13.2.3 Venue Suitability: No warranty that the Client’s Venue is suitable for the Event
  • 13.2.4 Compliance: No warranty that Events comply with all local noise ordinances or building rules (Client’s responsibility)
  • 13.2.5 Outcomes: No warranty regarding guest satisfaction, Event success, or experiential outcomes

13.3 Limitation of Liability - Direct Damages

  • 13.3.1 Capped Liability. Subject to clause 13.0, TMB’s total liability is limited as follows:
    • (a) TMB Services. For any claim arising from or related to the TMB Services, TMB’s total liability is limited to the total amount paid by the Client for the Booking to which the claim relates.
    • (b) Agency role. For any claim arising from TMB’s performance of its role as the Artist’s agent, TMB’s total liability is limited to the total amount paid by the Client for the Booking to which the claim relates, except that TMB’s liability to refund or account for sums it holds on the Client’s behalf, or to remit sums it has collected, is not limited by this clause and TMB shall pay those sums in full.
    • (c) Aggregate. Where a claim engages both (a) and (b), the limits apply separately to each, and the total recoverable under this clause 13.3.1</strongshall not exceed twice the amount paid for the relevant Booking, save in respect of sums excluded from the cap under (b) and clause 13.0.1(d).
  • 13.3.2 Nothing in these Terms excludes or limits TMB’s liability for:
    • (a) death or personal injury caused by TMB’s negligence;
    • (b) fraud or fraudulent misrepresentation;
    • (c) TMB’s obligations in respect of personal data under applicable law; or
    • (d) any liability that cannot lawfully be excluded or limited.
  • 13.3.3 This Section 13 limits TMB’s own liability. It does not limit, and TMB has no authority to limit, the liability of the Artist to the Client under the Booking.
  • 13.3.4 Sums held. Any sum that TMB holds for the Client – including a payment made before a Booking Confirmation is issued (clause 4.1.16A), a Wallet credit, and any refund due under Sections 7, 8, 9 or 11 – remains payable in full and is not subject to the limits in this Section 13.

13.4 Exclusion of Indirect Damages

To the fullest extent permitted by UAE law, TMB is not liable for:

  • 13.4.1 Indirect Damages: Loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings
  • 13.4.2 Consequential Damages: Any consequential, incidental, special, or punitive damages
  • 13.4.3 Emotional Damages: Emotional distress, embarrassment, or reputational harm
  • 13.4.4 Third-Party Claims: Damages resulting from third-party claims (e.g., guests suing the Client)
  • 13.4.5 Examples of Non-Covered Losses: The Client’s embarrassment if the Event doesn’t meet expectations; lost business deals due to a poor Event experience; neighbor complaints or fines; damage to the Client’s reputation among guests

13.5 The Artist’s Status and Liability

  • 13.5.1 Status: The Artist is an independent principal who contracts directly with the Client for the Artist Services. TMB acts as the Artist’s disclosed agent in concluding that contract, as set out in Section 6.5. The Artist is not TMB’s employee, sub-contractor or agent, and has no authority to bind TMB.
  • 13.5.2 Artist Acts and Omissions: Because the Artist Services are supplied by the Artist and not by TMB, TMB is not liable for the Artist’s conduct, including: late arrival or no-show; performance quality; offensive language, inappropriate behavior, or misconduct; or property damage caused by the Artist. The Artist is liable to the Client for these matters under the Booking.
  • 13.5.3 Artist Screening: While TMB conducts TrueMark verification as the Artist’s agent, that verification is not a warranty by TMB as to the Artist’s background or conduct.
  • 13.5.4 Client’s Remedies: The Client’s sole remedy against TMB in respect of the Artist Services is a refund, rescheduling, or Wallet credit as outlined in these Terms. This does not affect the Client’s rights against the Artist under the Booking, which the Client may enforce directly against the Artist. TMB will assist the Client in accordance with clause 6.5.9, including by providing the information reasonably required to pursue such a claim.

13.6 Equipment and Property Damage

  • 13.6.1 TMB Equipment and Crew: TMB is liable for direct physical damage to Client property caused by the negligence of TMB crew or TMB equipment, subject to the limits in clause 13.3. The Client must notify TMB of any such damage within 7 days of the Event and allow TMB a reasonable opportunity to inspect.
  • 13.6.2 Artist-Caused Damage: Damage caused by the Artist or the Artist’s equipment is the Artist’s responsibility under the Booking. TMB will receive and pass on such a claim as the Artist’s agent under clause 6.5.9.
  • 13.6.3 Client Property: The Client is liable for damage to TMB equipment, and to the Artist’s instruments and equipment, caused by the Client, guests, or pets.
  • 13.6.4 Guest Actions: TMB is not liable for damage caused by the Client’s guests to the Venue, neighboring property, or third parties.

13.7 Force Majeure Exclusion

  • 13.7.1 TMB is not liable for any failure or delay in performance caused by Force Majeure events (see Section 11).
  • 13.7.2 This includes cancellations, rescheduling, or service disruptions due to circumstances beyond TMB’s reasonable control.

13.8 Legal Claims and Time Limits

  • 13.8.1 – extend the notice period from 14 days to 30 days, and add: “Failure to give notice within this period does not bar a claim except to the extent TMB is prejudiced by the delay, and this clause is subject to clause 1.3.”
  • 13.8.2 Statute of Limitations: Any legal claim against TMB must be filed within 1 year of the Event. Claims filed after 1 year are time-barred.
  • 13.8.3 Waiver: Failure to file a claim within these time limits constitutes a waiver of the claim against TMB. These time limits apply to claims against TMB only and do not affect any limitation period applicable to a claim against the Artist under the Booking or under UAE law.

13.9 Acknowledgment

  • 13.9.1 The Client acknowledges that the pricing of the TMB Services reflects the allocation of risk set forth in these Terms.
  • 13.9.2 The Client agrees that TMB would not provide the TMB Services at current pricing without these limitations on liability.
  • 13.9.3 If any limitation is found to be unenforceable, the remaining limitations remain in full force.

14. INDEMNIFICATION

14.1 Client Indemnification Obligation

The Client agrees to indemnify, defend, and hold harmless TMB, its officers, directors, employees and agents, and the Artist (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising from or related to the matters set out in clause 14.2.

14.2 Specific Indemnification Scenarios

  • 14.2.1 Venue-Related Claims: Claims by building management, landlords, or HOAs for breach of lease terms, noise violations, or damage to common areas; fines or penalties imposed by authorities for noise violations or permit issues; claims by neighbors for disturbance, trespass, or nuisance; injury to the Client’s guests during the Event; property damage caused by the Client’s guests; claims by third parties for defamation, privacy violations, or other torts committed by guests.
  • 14.2.2 Breach of Terms: Claims arising from the Client’s breach of these Terms and Conditions or of a Booking; claims arising from the Client’s misrepresentation of facts (e.g., false statements about NOC status).
  • 14.2.3 Unlawful Conduct: Claims arising from illegal activities at the Event (e.g., drug use, assault); claims arising from serving alcohol to minors or violating UAE liquor laws.

14.3 Indemnification Process

  • 14.3.1 Notice: TMB will provide the Client with prompt written notice of any claim subject to indemnification.
  • 14.3.2 Defense: The Client may assume defense of the claim with counsel of the Client’s choosing (subject to TMB’s approval).
  • 14.3.3 Cooperation: TMB will reasonably cooperate with the Client’s defense at the Client’s expense.
  • 14.3.4 Settlement: The Client may not settle any claim without TMB’s prior written consent.
  • 14.3.5 TMB’s Right to Participate: TMB reserves the right to participate in the defense of any claim at its own expense.

14.4 TMB Indemnification

TMB agrees to indemnify the Client for claims arising solely from:

  • 14.4.1 TMB Gross Negligence: Claims arising from TMB crew’s gross negligence or willful misconduct
  • 14.4.2 TMB Intellectual Property: Claims that TMB’s own intellectual property (logos, trademarks) infringes third-party rights
  • 14.4.3 TMB Data Breach: Claims arising from TMB’s failure to protect Client data in accordance with applicable law (limited to direct damages only)
  • 14.4.4 Acts Outside Authority: Claims arising from any act of TMB outside the authority granted to it by the Artist, or from TMB’s failure to remit to the Artist sums collected from the Client, where this causes loss to the Client

14.5 Exceptions to Indemnification

Neither party is required to indemnify the other for:

  • 14.5.1 Claims resulting from the indemnified party’s own gross negligence or willful misconduct
  • 14.5.2 Claims settled without the indemnifying party’s consent
  • 14.5.3 Claims arising from Force Majeure events

14.6 Survival

Indemnification obligations survive termination of these Terms and closure of the Client account.

15. DISPUTE RESOLUTION

15.1 Governing Law

  • 15.1.1 These Terms, each Booking concluded under them, and any non-contractual obligation arising out of or in connection with them, are governed by and construed in accordance with the federal laws of the United Arab Emirates, as applied in the Emirate of Dubai.
  • 15.1.2 This includes, without limitation, the UAE Civil Transactions Law in force from time to time (including its provisions on agency, wakala), the Consumer Protection Law (Federal Decree-Law No. 15 of 2020) and its Implementing Regulation (Cabinet Resolution No. 66 of 2023), the Electronic Transactions and Trust Services Law (Federal Decree-Law No. 46 of 2021), and the Personal Data Protection Law (Federal Decree-Law No. 45 of 2021).
  • 15.1.3 The application of any conflict of laws rule that would refer these Terms or any Booking to the law of another jurisdiction is expressly excluded.

15.1A Jurisdiction and Forum

  • 15.1A.1 Subject to clause 15.4 (arbitration where the Client so elects), clause 15.6 (excepted matters) and clause 15.8 (consumer complaints), the Courts of Dubai have jurisdiction to determine any dispute arising out of or in connection with these Terms or any Booking.
  • 15.1A.2 Where a dispute is referred to arbitration under clause 15.4, the seat (legal place) of the arbitration is Dubai, United Arab Emirates, and the courts of that seat have supervisory jurisdiction over the arbitration.
  • 15.1A.3 Nothing in this clause deprives the Client of the protection of any mandatory rule of UAE law, or of access to any forum that UAE law makes available to consumers.

15.2 Informal Resolution

  • 15.2.1 Good Faith Negotiations: Before initiating formal dispute resolution, the parties agree to attempt to resolve any dispute through good faith negotiations.
  • 15.2.2 Escalation: The Client should first contact TMB customer support at support@themusicbrew.com. Where the dispute concerns the Artist Services, TMB will engage with it as the Artist’s agent under clause 6.5.9.
  • 15.2.3 30-Day Period: Parties will negotiate in good faith for 30 days before pursuing formal proceedings.

15.3 Mediation

  • 15.3.1 – make mediation optional rather than a condition precedent: “If informal negotiations fail, the parties may submit the dispute to mediation. Mediation is not a condition precedent to arbitration or litigation, and either party may commence proceedings at any time after the 30-day period in clause 15.2.3 has expired.”
  • 15.3.2 Mediation Venue: Dubai International Arbitration Centre (DIAC) or another mutually agreed mediator.
  • 15.3.3 Mediation Costs: Mediation fees are split equally.
  • 15.3.4 Confidentiality: Mediation proceedings are confidential and without prejudice.
  • 15.3.5 Duration: Mediation will be attempted for 30 days. If no resolution is reached, parties may proceed to arbitration or litigation.

15.4 Arbitration (For Claims Exceeding AED 10,000)

  • 15.4.1 Arbitration Agreement. For claims exceeding AED 10,000, the dispute may be referred to binding arbitration in accordance with the DIAC Arbitration Rules, at the election of the Client. TMB may propose arbitration but may not require it. If the Client does not elect arbitration, the dispute is determined by the Dubai Courts in accordance with clause 15.5. Where the Client elects arbitration, both parties are bound by that election and by this Section 15.4.
  • 15.4.2 Seat of Arbitration. The seat (legal place) of the arbitration is Dubai, United Arab Emirates, as provided in clause 15.1A.2. Hearings may be held at any convenient location or by video conference without affecting the seat.
  • 15.4.3 Language. The language of the arbitration is English.”
  • 15.4.4 Number of Arbitrators: One arbitrator mutually agreed upon by the parties. If the parties cannot agree, DIAC will appoint.
  • 15.4.5 Arbitration Award: The arbitrator’s decision is final and binding. Judgment may be entered in any court of competent jurisdiction.
  • 15.4.6 Costs: Each party bears its own legal fees; arbitration fees are split equally unless the arbitrator determines otherwise.
  • 15.4.7 Confidentiality: Arbitration proceedings and awards are confidential.
  • 15.4.8 Application to Bookings: This Section 15 applies to disputes between the Client and TMB, and to disputes between the Client and the Artist arising under a Booking, in which case the Artist and the Client are the parties to the dispute resolution process and TMB may facilitate it as agent.

15.5 Litigation (For Claims Under AED 10,000)

  • 15.5.1 Jurisdiction. Subject to clause 15.4 (arbitration where the Client so elects) and to clause 15.6, the Courts of Dubai have jurisdiction to determine any dispute arising out of or in connection with these Terms or any Booking. This includes all claims under AED 10,000 and all claims where the Client has not elected arbitration.

15.6 Exceptions to Dispute Resolution

The following matters are exempt from the above dispute resolution process and may be brought in court immediately:

  • 15.6.1 Intellectual Property Claims: Claims for trademark infringement, copyright infringement, or misappropriation of trade secrets.
  • 15.6.2 Injunctive Relief: Claims seeking emergency injunctive or equitable relief.
  • 15.6.3 TMB’s collection of unpaid fees or damages to equipment, and the Client’s claim for payment of any sum due from TMB, including any refund, Wallet credit or sum held on the Client’s behalf.
  • 15.6.4 Regulatory Enforcement: Actions by UAE government authorities.

15.7 Limitation Period

  • 15.7.1 One-Year Limit: Any claim arising from these Terms must be filed within one (1) year from the date the claim arose, subject to clause 13.8.3.
  • 15.7.2 Waiver: Failure to file within one year constitutes a complete waiver of the claim.

15.8 Consumer Complaints and Statutory Rights

  • 15.8.1 Nothing in this Section 15 requires the Client to exhaust, or delays the Client’s access to, any complaint or dispute mechanism made available to consumers under UAE law. The Client may at any time, and without first following Sections 15.2, 15.3 or 15.4, make a complaint to the Ministry of Economy, the Department of Economy and Tourism, or any other competent consumer protection authority.
  • 15.8.2 Nothing in this Section 15 excludes or limits any right the Client has under the UAE Consumer Protection Law (Federal Decree-Law No. 15 of 2020) or its Implementing Regulation (Cabinet Resolution No. 66 of 2023). This Section 15 is subject to clause 1.3.
  • 15.8.3 Where mandatory UAE law confers on the Client a right to bring a claim in a particular forum, or invalidates an agreement to arbitrate, that law prevails over this Section 15.

16. GENERAL TERMS

16.1 Entire Agreement

  • 16.1.1 These Terms and Conditions, together with the Privacy Policy, Cookie Policy, the Booking Confirmation and any other policies referenced herein, constitute the entire agreement between the Client and TMB, and record the terms of each Booking between the Client and the Artist.
  • 16.1.2 These Terms supersede all prior agreements, understandings, and communications (oral or written) between the parties.
  • 16.1.3 Any conflicting terms on the Client’s purchase order or other documents are void.
  • 16.1.4 Descriptive and promotional material. Descriptions of Artists, bands, modules and services on the Platform, and TMB’s promotional and marketing material, are provided to help the Client choose and do not form part of these Terms or of any Booking except where expressly incorporated into the Booking Confirmation. Nothing in this clause limits any right the Client has in respect of a misleading statement, or any liability for fraudulent or negligent misrepresentation, and this clause is subject to clause 1.3.

16.2 Amendments

  • 16.2.1 TMB may amend these Terms at any time by posting the revised Terms on the Platform with a new “Last Updated” date.
  • 16.2.2 Material changes will be communicated to Clients via email or in-app notification.
  • 16.2.3 Continued use of the Platform after amendments constitutes acceptance.
  • 16.2.4 If the Client does not agree to amendments, the Client must stop using the Platform and may close their account.
  • 16.2.5 Amendments do not affect the terms of a Booking already concluded.

16.3 Severability

  • 16.3.1 If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect.
  • 16.3.2 Invalid provisions will be modified to the minimum extent necessary to make them enforceable.

16.4 Waiver

  • 16.4.1 Failure by TMB to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • 16.4.2 Waivers must be in writing and signed by TMB to be effective.

16.5 Assignment

  • 16.5.1 Client Assignment: The Client may not assign, transfer, or delegate any rights or obligations under these Terms or under a Booking without TMB’s prior written consent.
  • 16.5.2 TMB Assignment: TMB may assign these Terms to any affiliate, successor, or purchaser of TMB’s business without Client consent.
  • 16.5.3 Binding Effect: These Terms bind and benefit the parties and their permitted successors and assigns.

16.6 Parties and Third-Party Rights

  • 16.6.1 These Terms govern (a) the relationship between the Client and TMB in respect of the TMB Services and TMB’s role as the Artist’s agent, and (b) the terms of each Booking between the Client and the Artist, which TMB concludes as the Artist’s disclosed agent.
  • 16.6.2 The Artist may enforce the terms of the Booking directly against the Client, and the Client may enforce them directly against the Artist. No other person has any right to enforce these Terms.
  • 16.6.3 The Artist’s relationship with TMB is governed by a separate Artist Agreement between TMB and the Artist, to which the Client is not a party.

16.7 Force Majeure (Restatement)

  • 16.7.1 Neither TMB nor the Artist is liable for failure or delay in performance caused by circumstances beyond its reasonable control (see Section 11 for full details).

16.8 Notices

  • 16.8.1 Client Notices to TMB: Email: support@themusicbrew.com. Notices to the Artist in connection with a Booking may be given to TMB as the Artist’s agent.
  • 16.8.2 TMB Notices to Client: Email (Client’s registered email address); in-app notifications; SMS (Client’s registered phone number, for urgent matters).
  • 16.8.3 Effective Date of Notices: Email notices are effective when sent. Mailed notices are effective 5 business days after mailing.

16.9 Language

  • 16.9.1 Official Language: These Terms are drafted in English. The English version is the official and controlling version.
  • 16.9.2 Translations: TMB may provide translations for convenience. In case of conflict, the English version prevails.
  • 16.9.3 Interpretation: Any translation discrepancies are resolved in favor of the English version.

16.10 Relationship of Parties

  • 16.10.1 Independent Parties: TMB and the Client are independent parties. These Terms do not create a partnership, joint venture or employment relationship between TMB and the Client, except that TMB acts as the Artist’s agent as set out in Section 6.5, which prevails over this clause.
  • 16.10.2 Artist Status: The Artist is an independent principal and service provider, not an employee, sub-contractor or agent of TMB.
  • 16.10.3 No Authority: The Client has no authority to bind TMB or the Artist to any agreement or obligation.

16.11 Survival

The following sections survive termination or expiration of these Terms:
  • Section 5 (Client Obligations – to the extent of surviving obligations)
  • Section 6.5 (TMB’s Role as Agent)
  • Section 7 (Cancellation Policy – for pending cancellations)
  • Section 8 (Refund Policy – for pending refunds)
  • Section 12 (Intellectual Property Rights)
  • Section 13 (Limitation of Liability)
  • Section 14 (Indemnification)
  • Section 15 (Dispute Resolution)
  • Section 16 (General Terms)

16.12 Headings

Headings and section titles are for convenience only and do not affect interpretation of these Terms.

16.13 Electronic Signatures

  • 16.13.1 By checking the “I agree to Terms and Conditions” box at registration or booking, the Client provides a legally binding electronic signature, both in respect of these Terms and in respect of each Booking concluded with an Artist.
  • 16.13.2 Electronic signatures have the same legal effect as handwritten signatures under Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services.

17. PROHIBITED USES AND ACCOUNT TERMINATION

17.1 Prohibited Activities

The Client agrees not to:

  • 17.1.1 Illegal Activities: Use the Platform for any unlawful purpose or in violation of UAE laws.
  • 17.1.2 Fraudulent Conduct: Provide false information, use stolen credit cards, or engage in payment fraud.
  • 17.1.3 Account Abuse: Create multiple accounts, share accounts, or transfer accounts to others.
  • 17.1.4 Circumvention: Attempt to bypass the Platform booking system by contacting Artists directly to avoid TMB’s charges.
  • 17.1.5 Spam/Harassment: Send unsolicited messages to Artists, TMB staff, or other users.
  • 17.1.6 Security Violations: Hack, attempt to gain unauthorized access, or introduce viruses/malware.
  • 17.1.7 Scraping: Use bots, crawlers, or automated tools to extract data from the Platform.
  • 17.1.8 Review Manipulation: Post fake reviews, incentivize positive reviews, or manipulate ratings.
  • 17.1.9 Discrimination: Discriminate against Artists based on race, religion, nationality, gender, or other protected characteristics.
  • 17.1.10 Competing Services: Use Artist information from TMB to recruit Artists for competing platforms.

17.2 Account Suspension

TMB may suspend the Client’s account immediately (without prior notice) if:

  • 17.2.1 The Client engages in prohibited activities (Section 17.1)
  • 17.2.2 The Client initiates fraudulent chargebacks
  • 17.2.3 The Client violates cancellation/NOC policies (e.g., repeated upon-arrival cancellations)
  • 17.2.4 The Client engages in misconduct toward Artists or TMB staff
  • 17.2.5 TMB suspects fraudulent activity
  • 17.2.6 TMB will complete any such investigation within 30 days and will notify the Client of the outcome in writing. Funds not forfeited under clause 17.3 will be released immediately on conclusion.

During Suspension: The Client cannot make new Bookings; the Client cannot access Wallet funds pending investigation, subject to the 30-day limit in clause 17.2.6; existing Bookings may be honoured or cancelled by TMB as the Artist’s agent.

17.3 Account Termination

TMB may permanently terminate the Client’s account if:

  • 17.3.1 Repeated violations of these Terms (3+ violations)
  • 17.3.2 Serious misconduct (violence, harassment, illegal activity)
  • 17.3.3 Fraudulent payment activity
  • 17.3.4 Legal requirement (court order, regulatory directive)

Upon Termination: Account permanently disabled; no new Bookings permitted; existing Bookings cancelled by TMB as the Artist’s agent (refunds per standard policy); Wallet funds forfeited if termination is due to fraud (otherwise refunded); the Client may be barred from creating new accounts.

17.4 Client-Initiated Account Closure

  • 17.4.1 The Client may close their account at any time via Platform settings.
  • 17.4.2 Outstanding Obligations: The Client must cancel or fulfill all pending Bookings before closure.
  • 17.4.3 Wallet Funds: The Client may request a refund of Wallet funds to the original payment method (processed within 14 days). Unused funds after 12 months are forfeited. TMB will notify the Client by email 30 days before any credit is due to expire.

19. ACKNOWLEDGMENT AND ACCEPTANCE

BY CLICKING “I AGREE,” CHECKING THE ACCEPTANCE BOX, OR USING THE PLATFORM, THE CLIENT ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
THE CLIENT ACKNOWLEDGES THAT, FOR EACH BOOKING, THE CONTRACT FOR THE PERFORMANCE IS FORMED BETWEEN THE CLIENT AND THE ARTIST NAMED IN THE BOOKING CONFIRMATION, AND THAT THE MUSIC BREW ACTS AS THAT ARTIST’S DISCLOSED AGENT AND IS NOT A PARTY TO THAT CONTRACT. THE MUSIC BREW CONTRACTS WITH THE CLIENT IN ITS OWN NAME FOR THE TMB SERVICES.
CLIENT CONFIRMS THAT THEY ARE AT LEAST 18 YEARS OF AGE AND HAVE THE LEGAL CAPACITY TO ENTER INTO THIS AGREEMENT.
